OFFICIAL RULES FOR X10 "PRESIDENT’S DAY CONTEST"

BE A PRESIDENTIAL ADVISOR…TELL THE PRESIDENT WHAT X10 PRODUCTS TO USE AND HOW TO USE THEM!

1. The following promotion is intended for viewing in the United States (excluding Puerto Rico) and Canada (excluding Quebec) only and shall only be construed and evaluated according to United States and Canadian law. Persons residing in other jurisdictions are not eligible to win any prizes in connection with this promotion.

2. NO PURCHASE NECESSARY TO PLAY; WINNER SELECTION: From all eligible entries received, the winners will be determined by the participant who accumulates the most votes during the Contest Period. No purchase is necessary to enter contest. A valid e-mail address is required to win.

3. CONTEST PERIOD: The contest period begins at Midnight (PST) February 15, 2003, and ends at 12Noon (PST) February 20, 2003.

4. ELIGIBILITY: All federal, state, provincial and local laws and regulations apply. Directors, officers and employees of X10 Ltd., X10 WTI, X10's distributors, divisions and subsidiaries, licensed retailers, venders, and their immediate family members are not eligible to enter this contest.

5. GAMBLING PROHIBITION: This contest may not be used in connection with any form of gambling.

6. MAILING LIST: By entering the Contest, you consent to being placed on a mailing list for promotional and other materials unless you "opt. out" via e-mail request to webmaster@mail.x10.com

7. ENTRY: You can enter at any time during the Contest Period. There is no limit to how many entries an entrant can submit. A name and valid e-mail address are required to enter. No faxed, mailed, e-mailed, or phoned in entries are allowed. No responsibility is assumed for any late, lost, garbled, misdirected, incomplete, or damaged entries. X10 reserves the right to determine which entries are valid and acceptable for posting. Non-acceptable entries will not be posted, and not eligible to win the prize. By entering, you grant permission to X10 WTI., to use your name and entry for publicity and promotional purposes without any compensation. Entries describing other manufacturer's products or with profane words or offensive subject matter will not be accepted. Entering the contest gives X10 the right to use the entry in whole or in part, and the entry description becomes the property of X10.

8. HOW TO PLAY: After reading the legal restrictions and registering, contestants can participate in the contest. Contestants are required to submit an idea or story involving an application for X10 Products. Once the contestant's entry is previewed and accepted for posting, the visitors to X10.com will be allowed to vote for the entry of their choice, with a limit of 1 vote per visitor.

9. GAINING VOTES: Visitors to the X10.com web site all have the ability to vote for their favorite entry with a limit of 1 vote per person. If a person has voted for an entry and changes their mind, they can vote for another entry, but their previous vote will be subtracted from the previous entry's total votes. Entries that receive votes in a "spam" fashion (in attempt to manipulate the results of the contest by having a one or a few people vote more than once for an entry. Violating of this, will be determined by X-10) will be removed from the contest. Note: Advertising or promoting your entry is acceptable. Collusion by group(s) to pick a predetermined person to win the contest before the contest period begins, and then pooling votes for the predetermined person to manipulate the contest results, is prohibited. If X10 has proof that an entry is part of such a group, the entry will not be eligible to win the Grand Prize. Offering a gift/money or any form of compensation for voting for a particular entry is illegal and if evidence is provided that an entry is gaining votes in this matter, they will be disqualified.

10. PRIZES/WINNER SELECTION: One (1) Grand Prize winner will be chosen using the following criteria: The Grand Prize will be awarded at the end of the Contest Period to the contestant whose entry has accumulated the most legitimate votes over the entire Contest Term. In the event of a tie between two or more entries at the end of the term, the winning entry will be determined by a random drawing.

GRAND PRIZE (1): The Grand Prize winner will receive: $500 worth of X10 merchandise (chosen by winner) available only from the X10.com web site. The value of the merchandise will be based on the price as posted on the X10.com catalog page at the time the winner chooses his or her prize. The $500 merchandise prize does NOT include any FREE item promotion that may be running at time of redemption. The winner will have 60 days after being notified of winning the contest to redeem the prize. X10 is not responsible for any amount of prize not redeemed by winner. If winner desires more than $500 in merchandise, the winner will be responsible to pay for the value of the merchandise over $500. After the prize is redeemed, X10 will no accept refunds or exchanges of merchandise.

ALL TAXES ASSOCIATED WITH THE $500 MERCHANDISE PRIZE RECEIPT OR USE OF ANY PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNER. ALL TAXES INCLUDES ALL LOCAL, STATE, AND FEDERAL TAXES.

11. NOTIFICATION: Winners will be notified by e-mail and regular mail within 7 business days after the date the winner is determined and must sign and return an affidavit of eligibility and acceptance of these Legal Restrictions and a publicity/liability release (unless prohibited by law) within fourteen (14) days following attempted notification. Failure to comply with this requirement may result in disqualification and selection of an alternate winner. Any prize notification returned as undeliverable may result in disqualification and selection of an alternate winner.

Once the affidavit of eligibility, acceptance the Legal Restrictions and the publicity/liability release are received by X-10, a qualified X10 representative will contact the winner. At this time the winner may select the $500 in merchandise as redemption of the Grand Prize.

By accepting any prize, the winner grants permission to X10 WTI., to use their names and/or likenesses for publicity and promotional purposes without further compensation, unless prohibited by law, and agree to execute a written consent. In the event of a dispute about the identity of any entrant, entries made online will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person to whom an e-mail address by an Internet access provider is assigned, to an e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be required to provide the sponsors with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry.

12. GENERAL RELEASE: By participating in the X10 Contest, you release and agree to hold harmless X10 WTI and any of their subsidiaries, affiliates, successors, directors, officers, employees and agencies (collectively, the "Released Parties") from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or acceptance, possession, or use of any prize (including, without limitation, claims, costs, injuries and losses related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

13. INTERNET/TECHNOLOGY PROBLEMS; RELEASE; DISCLAIMER OF LIABILITY: If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of X10 WTI which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this game and contest, X10 WTI reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify or suspend this Contest at any time. Released Parties assume no responsibility for, and will not be liable for, any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of entries. No responsibility is assumed for lost, late, misdirected, incomplete or garbled transmissions. None of the Released Parties are in any way responsible or liable for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by X10 WTI on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation in this Contest. The Released Parties reserve the right at their sole discretion to disqualify any individual who violates these Legal Restrictions referenced herein or engages in any conduct detrimental to X10 WTI, the Contest or any other entrant (in each case as determined in X10 WTI's sole discretion) or to lock out any individual whose eligibility is in question.

14. WINNERS LIST: This Contest is subject to these Official Rules. Contest entrants agree to abide by the terms of these Official Rules and by the decisions of the judges, which are final on all matters pertaining to this game. X10 WTI reserves the right to change these Official Rules at any time, in its sole discretion. Official Rules may be obtained on the X10.com site at http://www.x10.com

13. HEADERS. The section headers contained herein are provided for convenience purposes only and shall not be used to modify or interpret the terms of these Legal Restrictions.

14. SEVERABILITY: In the event that any provision of these Legal Restrictions is found invalid or unenforceable pursuant to judicial decree or decision, the remainder of the Legal Restrictions shall remain valid and enforceable according to its terms. The parties intend that the provisions of these Legal Restrictions be enforced to the fullest extent permitted by applicable law. Accordingly, the parties agree that if any provisions are deemed not enforceable, they shall be deemed modified to the extent necessary to make them enforceable.
